These Terms & Conditions govern your use of the Celtek Peptides website and your purchase or use of products and services offered by Celtek Peptides, a division of Celtek Bioscience, LLC (“Celtek,” “we,” “us,” or “our”).

By accessing this website, creating an account, submitting an order or custom synthesis request, or purchasing a Celtek product, you agree to these Terms & Conditions.

If you do not agree to these Terms, do not use the website or purchase Celtek products.

Research Use Only

Unless Celtek expressly states otherwise in writing, products sold by Celtek Peptides are intended solely for legitimate laboratory research and development.

Celtek research products are:

FOR RESEARCH USE ONLY. NOT FOR HUMAN OR VETERINARY USE.

They are not intended for:

• Human administration
• Veterinary administration
• Injection
• Ingestion
• Diagnosis
• Treatment or prevention of disease
• Therapeutic use
• Cosmetic use
• Food use
• Dietary supplementation

Purchasing a Celtek research product constitutes your representation that the product will be used only for lawful research purposes consistent with its labeling and these Terms.

Prohibited Uses

You may not purchase, use, resell, distribute, advertise, formulate, or relabel Celtek research products for:

• Human administration
• Veterinary administration
• Personal therapeutic use
• Medical treatment
• Self-experimentation
• Compounding into a product intended for human or veterinary administration
• Use as a drug
• Use as a dietary supplement
• Use as food
• Use as a cosmetic
• Any unlawful purpose

You may not advertise or represent a Celtek research product as approved, safe, effective, sterile, injectable, pharmaceutical grade, or appropriate for human or animal use unless Celtek has expressly provided such designation in writing for a product that lawfully qualifies for it.

Purchaser Representations

By purchasing a research product, you represent that:

• You are at least 18 years old
• You have legal authority to enter into this agreement
• Your purchase is lawful in your jurisdiction
• You understand the research-use designation of the product
• You will use the product only for lawful research
• You have appropriate knowledge, equipment, facilities, and procedures for handling the material
• You will comply with applicable federal, state, local, institutional, and laboratory requirements
• You will not use the product in humans or animals

If purchasing on behalf of an organization, you also represent that you have authority to act on behalf of that organization.

Right to Refuse or Cancel an Order

Celtek reserves the right to decline, hold, or cancel an order when reasonably necessary.

This may include situations involving:

• Suspected prohibited use
• Suspected fraud
• Incorrect pricing
• Product unavailability
• Payment failure
• Incomplete customer information
• Legal or regulatory concerns
• Shipping restrictions
• Suspected violation of these Terms

If Celtek cancels an order before fulfillment, amounts paid for products that will not be supplied will be handled according to the applicable payment and cancellation circumstances.

Product Information

We make reasonable efforts to provide accurate information about:

• Product identity
• Product quantity
• Purity specifications
• Lot numbers
• Analytical testing
• Storage information
• Availability

Research products can have compound-specific characteristics and analytical limitations.

Website information may be updated when:

• New batches arrive
• New analytical results become available
• Specifications change

• Errors are identified

If a product specification is material to your research, verify the current specification and lot documentation before relying on it.

Certificates of Analysis

Where applicable, Celtek makes analytical documentation available for research peptide lots.

A Certificate of Analysis or analytical report should be interpreted only according to the tests actually performed.

An HPLC or mass-spectrometry result does not, by itself, establish:

• Sterility
• Absence of endotoxin
• Absence of every possible contaminant
• Human safety
• Veterinary safety
• Clinical effectiveness
• Suitability for injection
• FDA approval

Purity Claims

Where Celtek reports peptide purity, the stated percentage may refer to chromatographic purity measured using an analytical method such as HPLC.

Chromatographic purity should not automatically be interpreted as:

• Total peptide content by vial weight
• Sterility
• Pharmaceutical purity
• Absence of every non-peptide component

Researchers are responsible for determining which analytical specifications are required for their own research.

No Medical Advice

Information published by Celtek is provided for scientific, educational, research, and product-information purposes.

Nothing on the website constitutes:

• Medical advice
• A diagnosis
• A prescription
• A dosing recommendation
• Treatment advice
• Instructions for human use
• Instructions for veterinary use

Articles may discuss doses, concentrations, pharmacokinetics, adverse events, or study protocols reported in published scientific research.

Those discussions describe scientific research and do not constitute instructions for using Celtek products.

Investigational Compounds

Orders and Acceptance

Submitting an order does not necessarily constitute Celtek’s final acceptance of that order.

An order may remain subject to:

• Payment authorization
• Inventory availability
• Compliance review
• Shipping restrictions
• Error correction

Celtek may contact a customer when additional information is reasonably required to complete an order.

Pricing

Celtek attempts to maintain accurate pricing on the website.

If an obvious pricing, product, or technical error occurs, Celtek may correct the error and may cancel or modify an affected order before fulfillment.

Applicable taxes, optional services, and other charges will be disclosed where required.

Standard Shipping

Celtek currently includes 2nd Day Air shipping in the price of standard orders.

There is no separate charge for our standard 2nd Day Air service.

Carrier transit time begins after the package is processed and transferred to the carrier.

Processing time and carrier transit time are separate.

Next Day Air

Next Day Air shipping is available for an additional charge.

Selecting Next Day Air changes the carrier service level. It does not necessarily eliminate processing time before the order is ready to ship.

Delivery dates may be affected by:

• Carrier delays
• Weather
• Weekends
• Holidays
• Transportation interruptions
• Incorrect addresses
• Events outside Celtek’s reasonable control

Delivery Information

Customers are responsible for providing a complete and accurate shipping address.

Celtek is not responsible for delays resulting from inaccurate or incomplete information supplied by the purchaser.

Customers should inspect shipments promptly after delivery and contact Celtek if:

• An item is missing
• The wrong product was received
• Packaging was materially damaged
• A shipment appears lost
• Lot information cannot be identified

Retain the packaging and order information while an issue is being reviewed.

Returns, Replacements, and Order Problems

Returns, replacements, damaged shipments, lost shipments, and incorrect orders are handled according to Celtek’s applicable return and replacement policies.

Certain products may be ineligible for return because of their nature, condition, custom manufacture, chain-of-custody considerations, or other legitimate reasons.

Customers should contact contact@celtek-peptides.com regarding an order problem.

A dedicated Returns & Replacements Policy may provide additional terms where applicable.

Custom Peptide Synthesis

Custom peptide synthesis orders are project-specific.

A quotation may specify:

• Sequence
• Quantity
• Purity
• Modifications
• Analytical testing
• Pricing
• Estimated turnaround
• Other project requirements

A custom synthesis quotation, statement of work, purchase order, or other written project agreement may contain additional terms.

If project-specific written terms conflict with these general Terms concerning that project, the project-specific written terms will control to the extent of the conflict.

Customer-Supplied Sequences and Specifications

When you provide a peptide sequence, modification, specification, document, or other material for a custom synthesis project, you represent that you have the legal right to provide that information and request the applicable work.

Celtek does not undertake an independent patent, licensing, intellectual-property, or freedom-to-operate review merely by accepting a synthesis inquiry.

Customers remain responsible for determining whether their requested research activities require licenses, permissions, institutional approvals, or other authorizations.

Custom Project Feasibility

Not every peptide sequence can be produced to every requested specification.

Sequence length, hydrophobicity, aggregation, modifications, purification difficulty, and other chemical factors can affect:

• Yield
• Purity
• Price
• Feasibility
• Turnaround time

Celtek may revise a quotation or discuss alternative specifications when technical issues are identified before or during a project.

Intellectual Property

The Celtek website, including its original text, graphics, logos, design elements, and other content, is protected by applicable intellectual-property law.

You may use publicly available scientific and product information for normal research and informational purposes.

You may not reproduce substantial Celtek website content for commercial republication, impersonate Celtek, or use Celtek branding in a manner that falsely suggests authorization, endorsement, or affiliation.

Third-party research, publications, trademarks, and other materials referenced by Celtek remain the property of their respective owners.

Website Availability

Celtek does not guarantee that the website will always be:

• Uninterrupted
• Error-free
• Available
• Free from technical problems

We may modify, maintain, suspend, or discontinue website features when reasonably necessary.

Third-Party Links

Celtek research content may link to third-party resources including:

Nothing in this section limits any express written warranty or remedy that Celtek specifically provides for an order.

Limitation of Liability

To the fullest extent permitted by applicable law, Celtek will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from misuse of a product, prohibited use, or reliance on the website outside its stated purpose.

Where liability concerning an order cannot lawfully be excluded, Celtek’s aggregate liability concerning that order will not exceed the amount paid to Celtek for the product or service giving rise to the claim, except where applicable law requires otherwise.

Nothing in these Terms excludes liability that cannot legally be excluded.

Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, liabilities, or expenses arising from your:

• Violation of these Terms
• Misrepresentation of Celtek products
• Violation of another party’s intellectual-property rights through materials or instructions you provide

This provision does not apply where prohibited by law.

Privacy

Use of personal information associated with the website and orders is governed by our Privacy Policy.

Changes to These Terms

Celtek may update these Terms from time to time.

The current version will be posted on this page with a revised “Last Updated” date.

Changes apply prospectively unless applicable law requires otherwise.

Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where applicable law requires another result.

Any dispute that is not otherwise resolved will be handled by a court of competent jurisdiction, subject to applicable law.

No Waiver

A failure by Celtek to enforce a provision of these Terms on one occasion does not waive the right to enforce it later.

These Terms, together with applicable policies and project-specific written agreements, constitute the agreement governing use of the website and applicable Celtek transactions.
